SUBSCRIPTION AGREEMENT

This Subscription Agreement ("Agreement") acts as a binding contract between STRX Technologies, LLC ("STRX", "We", "Us") and You ("The Customer", "Subscriber"). By purchasing a subscription service from STRX Technologies, you agree to the terms outlined below.
1. Authorization & Payment Methods
A. Automatic Payments
By purchasing a subscription, you explicitly authorize STRX Technologies to initiate recurring automatic payments from the credit card, debit card, or bank account you provided on file.
Card on File: You agree to maintain at least one valid payment method on file at all times.
Billing Cycle: Payments will be drafted automatically on the same day each month (or year) corresponding to your initial sign-up date.
B. Price Changes
STRX Technologies reserves the right to adjust pricing at any time.
Notification: You will be notified of any price changes at least 30 days prior to your next billing cycle.
Grandfathering: Annual subscribers will not be charged any price difference until their current annual term expires and renews.
2. Subscription Terms & Cancellations
Your cancellation rights and obligations depend on the specific type of plan you purchased.
A. Monthly Plans (With 12-Month Commitment)
If your subscription is advertised as a "12-Month Contract" or includes a discounted rate in exchange for a term commitment:
Non-Cancelable Term: You acknowledge that you are entering into a binding 12-month non-cancelable contract.
Early Termination Fee (ETF): If you cancel this contract prior to the end of the 12-month term, you will be charged an Early Termination Fee equal to the remaining balance of the contract OR $50.00, whichever is greater.
Renewal: At the end of the 12-month term, the contract will automatically renew on a month-to-month basis unless canceled.
B. Annual Plans (Pre-Paid)
No Refunds: Annual plans are paid upfront and are non-refundable.
Cancellation: You may cancel an annual plan at any time to prevent it from renewing for the next year. However, no prorated refunds will be issued for the unused portion of the current year.
Service End Date: Upon cancellation, your service will remain active until 12:00 AM EST on the last day of your current billing cycle.
3. Late Fees & Default
It is your responsibility to ensure your payment method is valid and has sufficient funds.
Grace Period: A grace period of 10 calendar days is provided from the due date.
Late Fee: If payment is not received or is declined after 10 days, a $5.00 Late Fee will be added to your account balance.
Default: If a payment remains unpaid for 30 calendar days, STRX Technologies considers the account in default, and services may be suspended or canceled as detailed in specific sections below.
4. Web Development & Hosting Specific Terms
If your subscription includes website hosting, design, or management, the following terms apply strictly to those services:
A. Non-Payment, Suspension, & Deletion
15 Days Past Due (Suspension): If payment is not received within 15 calendar days of the due date, your website will be suspended and taken offline. It will display a maintenance or suspension notice until the balance is paid.
30-60 Days Past Due (Reinstatement): If your account remains unpaid for more than 30 days, a $75.00 Reinstatement Fee will be required—in addition to the past due balance—to bring the website back online.
60 Days Past Due (Permanent Deletion): If payment remains unpaid for 60 calendar days, the service will be terminated. All website files, databases, and content will be permanently deleted from our servers. Once deleted, this data cannot be recovered.
B. Domain Ownership
Unless you purchased the domain independently and pointed it to our servers:
STRX Property: Domains registered by STRX Technologies as part of a package remain the legal property of STRX Technologies.
Transfer Fee: If you wish to transfer the domain to another registrar (e.g., GoDaddy, Namecheap), you must pay a Domain Release Fee of $30.00.
C. Proprietary Platform & Portability
Proprietary CMS: Websites are constructed using our Proprietary Content Management System (CMS) architecture.
Transfer Limitations: Due to the proprietary nature of our platform, the website's core functionality, dynamic widgets, and backend features will not function if transferred to a third-party hosting provider.
Site Export Fee: If you cancel services and wish to retain your site's design, we can provide a static HTML/ZIP export of your site files for a one-time File Export Fee of $100.00.
Disclaimer: STRX makes no guarantee that these files will function correctly on other servers. We sell the files "AS IS."
E-Commerce Data: E-commerce transaction history, customer profiles, and inventory data are not stored directly by STRX and cannot be exported.
D. Third-Party Services
Google My Business (GMB): Upon cancellation, STRX will cease all management of your GMB profile. Administrative ownership will be transferred back to you.
SSL Certificates: SSL certificates provided by STRX will be revoked immediately upon cancellation or suspension.
5. Licensed Software & Cloud Services (Azure, Bitdefender, etc.)
This section applies to any license-based subscriptions (e.g., Microsoft Azure, Office 365, Bitdefender) purchased through STRX Technologies.
A. Separation of Management vs. License
If you request to cancel "Management Services" or "Managed IT Support":
Licenses Continue: Your licenses for software (e.g., Bitdefender, Azure, Microsoft 365) will remain active and billable unless you explicitly request to cancel the licenses themselves.
Billing: You will continue to be charged for the base cost of the licenses on your monthly or annual cycle, minus the management fee.
B. Migration & Configuration
STRX Technologies does not handle the migration of settings, policies, or configurations to new providers upon cancellation.
Access: If STRX currently manages your tenant (Global Admin), we will provide your new IT provider or internal admin with the necessary access credentials upon request.
Configuration Transfer: It is the sole responsibility of your new provider to view, document, and replicate your configurations. STRX will not export settings or "hand off" configurations.
C. Data Liability & Backups
No Backups: STRX Technologies does not back up customer data hosted in third-party cloud environments (e.g., Azure, Microsoft 365) unless a specific backup service is purchased separately.
Vendor Deletion: If you cancel your licenses, the third-party provider (e.g., Microsoft) may permanently delete your environment and data immediately or after a short retention period. STRX Technologies is not responsible for any data loss caused by license cancellation.
6. Scope of Remote Support Services
Please read this section carefully. "Remote Support" refers to the specific tiers of service (Basic or Priority) purchased as part of your subscription.
A. Service Tiers & Queue Priority
Your access to support is determined by your specific plan tier:
Priority Support Plan: Subscribers on this tier receive Queue Precedence. Your tickets and support requests are prioritized ahead of Basic subscribers and non-subscriber (break/fix) customers.
Basic Support Plan: Subscribers on this tier receive standard support access. Requests are handled in the order they are received, after Priority requests have been addressed.
Response Times: While we aim for rapid resolution, "Priority" refers to queue positioning and does not guarantee a specific response time (e.g., "within 1 hour"). All support is performed during our standard business hours unless otherwise specified.
B. What is Included (Break/Fix Model)
Our support is designed to fix things that are broken. Coverage includes:
Operating System Issues: Diagnosis and repair of Windows errors, boot issues, and system settings.
Security Remediation: Manual removal of viruses, malware, or ransomware that automated software cannot catch.
Connectivity: Troubleshooting network connection issues within the device’s OS settings.
C. What is NOT Included (Training & 3rd Party)
The following services are excluded from Remote Support plans but may be performed for an additional fee:
Training & Tutoring: We do not provide instruction on "how to use" software (e.g., "How do I create a pivot table in Excel?" or "How do I edit a PDF?").
Software Installation: We do not locate, download, or install third-party software for you unless it is critical security software provided by STRX.
Third-Party Configuration: We do not configure settings inside third-party applications (e.g., game settings, Adobe creative cloud preferences, or accounting software specific features) unless the issue is caused by the Operating System.
Hardware Failures: The labor to diagnose is included, but the labor to physically replace parts and the cost of the parts themselves are excluded.
D. Subscriber Discount
For any services listed above that are excluded from your plan (such as training or hardware installation), subscribers receive a 10% Discount off standard labor rates.
E. Fair Use & Abuse Policy
Excessive Usage: Services are subject to a Fair Use Policy. If a customer's volume of support requests is deemed excessive (beyond reasonable limits for a single device), STRX reserves the right to review the account and transition the customer to an hourly billing model.
Conduct: We have a zero-tolerance policy for abuse. Harassment, threats, or abusive language toward STRX staff will result in immediate termination of services with no refund.
7. Important Disclaimers
A. NO HARDWARE OR SOFTWARE WARRANTY
THIS SUBSCRIPTION IS NOT AN EXTENDED WARRANTY OR INSURANCE POLICY. STRX Technologies is not responsible for hardware failure (e.g., hard drive crash, motherboard failure) or software corruption that occurs while you are subscribed to a Remote Support plan. We provide the service to help fix these issues, but the cost of replacing the hardware remains the customer's responsibility.
B. Liability
STRX Technologies is not liable for any data loss, lost profits, or business interruption resulting from the use of our support services, web hosting, or cloud products. It is the customer's sole responsibility to maintain backups of all data.
8. General Provisions
A. Confidentiality
We acknowledge that during the performance of services, we may have access to confidential information (e.g., passwords, personal files). STRX Technologies agrees to hold all such information in strict confidence and will not disclose it to third parties unless required by law.
9. Agreement to Terms
By completing the checkout process and providing your payment information, you acknowledge that you have read, understood, and agreed to be bound by this Subscription Agreement and our General Terms of Service. STRX Technologies reserves the right to update these terms at any time, with notice provided to active subscribers.
